Toronto, Ontario, August 27, 2026 – Purepoint Uranium Group Inc. (TSXV: PTU) (OTCQB: PTUUF) (“Purepoint” or the “Company”) announced today the closing of its non-brokered private placement (the “Private Placement”). In connection with the closing, the Company issued 2,648,978 flow-through units (“Flow-Through Units”) at a price of $0.38 per unit for aggregate gross proceeds of $1,006,611.64. Each Flow-Through Unit consists of one common share in the capital of the Company issued on a “flow through” basis pursuant to the Income Tax Act (Canada) and one common share purchase warrant. Each warrant entitles its holder to purchase one common share in the capital of the Company at an exercise price of $0.50 per share for a period of 12 months from the date of issuance.
In connection with the closing of the Private Placement, the Company paid finder’s fees consisting of, in aggregate, $51,765.12 in cash and 136,224 non-transferable compensation warrants. Each compensation warrant entitles its holder to purchase one common share in the capital of the Company at an exercise price of $0.50 per share for a period of 12 months after the closing date.
The net proceeds of the Private Placement will be used for the exploration and advancement of the Company’s projects in the Athabasca Basin, Saskatchewan. All securities issued in connection with the closing of the Private Placement are subject to a four-month hold period pursuant to the applicable securities laws with an expiry date of December 27, 2026.
